  • imCAD is an AI assistant that works in SOLIDWORKS on your computer. You need your own SOLIDWORKS license and your own AI account.
  • One imCAD account can be used on one computer at a time; accounts may not be shared.

  • AI can make mistakes. You must always check the results yourself before using them in production.

These Terms of use (the “Terms”) are an agreement between you and [Full legal name of the imCAD company], enterprise code [...], address [...] (“imCAD”, “we”, “us”) governing your use of the imCAD software, the imcadagent.com website and related services (together, the “Service”). By installing, signing in to or using the Service, you agree to these Terms. If you use the Service on behalf of a company or organization, you confirm that you have authority to bind that organization, and “you” includes that organization.

1. About the Service

imCAD (Intelligent Modeling CAD) is an application for Windows computers that connects artificial intelligence (“AI”) with the SOLIDWORKS software installed on your computer. At your request, imCAD can plan and build parts, assemblies and drawings, assign materials, calculate mass, run analyses and export files directly in SOLIDWORKS, including in a SOLIDWORKS session running in the background (“Background tasks”). The Service also includes a library of skills and domain knowledge written by imCAD and provided from imCAD’s servers.

2. Eligibility

You must be at least 18 years old and have full civil legal capacity under Vietnamese law, or use the Service as an employee of an organization that has agreed to these Terms. You are responsible for holding a valid SOLIDWORKS license and a valid account with the AI provider you choose.

4.1. Prices

Current prices are published at imcadagent.com/en/pricing: monthly plan 149,000 VND, quarterly 400,000 VND, yearly 1,490,000 VND per account. These prices [include / do not include] VAT. imCAD may change its prices; new prices do not apply to a period you have already paid for.

4.2. Payment method

You pay by bank transfer using the details provided by imCAD. Your plan is activated after imCAD confirms receipt of payment. Businesses may request an electronic invoice.

4.3. Renewal

Plans are not charged automatically. Before your plan expires, you must pay for the next period yourself. If your plan expires without renewal, features that require a license will stop working; the files you have created remain intact on your computer.

4.4. Refunds

[Refund policy to be confirmed by imCAD. Example: a 100% refund if requested within 7 days of activation and imCAD cannot run on your computer due to a fault on imCAD’s side.] Except in the case above and where required by law, fees paid are non-refundable.

4.5. Third-party costs

imCAD fees do not include the cost of your SOLIDWORKS license or of your AI account (Claude, ChatGPT, etc.). You pay those costs directly to the respective providers. When imCAD launches “imCAD API” (buying credits to use AI through imCAD), the terms of that service will be published separately.

4.6. Fair use

To ensure quality for everyone, some functions may have usage limits (for example, the number of knowledge base lookups per day). Limits apply equally to all customers on the same plan and are sufficient for normal work.

5. License

5.1. Rights granted to you

Provided that you comply with these Terms and your plan is active, imCAD grants you a limited, non-exclusive, non-transferable right to use the imCAD software for the design work of you or your organization, including for commercial purposes.

5.2. Permission for imCAD to act on your computer

You understand and agree that, at your request, imCAD will control SOLIDWORKS on your computer: create, open, edit, save and export files, and open a background SOLIDWORKS session when you use Background tasks. imCAD presents a plan for your approval first, and you can choose the level of automation. You are responsible for reviewing the plan before approving it and for backing up important data before letting imCAD edit files.

5.3. Restrictions

You must not, and must not allow others to:

  1. copy, modify, decompile, disassemble or attempt to obtain the source code of imCAD, except where expressly permitted by law;
  2. extract, bulk-copy or redistribute the content of imCAD’s skill and knowledge library;
  3. circumvent or disable the licensing mechanism, the computer restriction or usage limits;
  4. resell, rent or share accounts, or provide imCAD as a service to others;
  5. use imCAD to build a competing product, or for any unlawful purpose.

5.4. Feedback

If you send feedback or improvement ideas to imCAD (including through the “Report a problem / feedback” function in the app), imCAD may use that feedback freely without any obligation to pay you.

6. Ownership

6.1. What belongs to imCAD

imCAD, the website, the skill library, knowledge, user interface and the “imCAD” brand are owned by imCAD and protected by intellectual property law. These Terms do not transfer any ownership rights to you.

6.2. What belongs to you

The part, assembly and drawing files and documents created when you use imCAD (“Output”) belong to you, to the extent permitted by law. Because AI may produce similar results for different users, imCAD does not guarantee that Output is unique.

6.3. Your commitments

You confirm that you have sufficient rights to all drawings, images, files and information you provide to imCAD, and that doing so does not infringe the rights of any other party (for example, your customers’ drawings or your partners’ trade secrets).

7. Data

Your design files stay on your computer and are not uploaded to imCAD’s servers during modeling. The requests you send to the AI, together with the necessary information about the model, are sent from your computer to the AI provider you choose, under that provider’s terms and policies. How imCAD collects and processes personal data is described in the Privacy policy, which forms part of these Terms.

imCAD may collect technical usage data (app version, errors that occur, number of uses) to operate, protect and improve the Service, and may use such data in aggregated form that does not identify individuals.

8. Third-party software

imCAD works together with third-party software and services, including SOLIDWORKS (Dassault Systèmes) and AI services (such as Anthropic Claude and OpenAI ChatGPT). Your use of those products is governed by each provider’s own terms. imCAD is not responsible for changes, interruptions or policies of third parties. imCAD may contain open-source components, which are used under their respective licenses.

9. Notices and communications

imCAD may send you notices about your account, renewals, updates and important changes by email or within the app. Marketing emails are sent only with your consent, and you can unsubscribe at any time.

10. Changes to these Terms

imCAD may update these Terms. For material changes, we will notify you by email or in the app at least [15] days before they take effect. If you continue to use the Service after the effective date, you are deemed to accept the new version; if you do not agree, you may stop using the Service.

11. Term and termination

11.1. Term

These Terms take effect when you first install or use the Service and remain in effect until terminated.

11.2. Termination

You may stop using the Service at any time by uninstalling it, and you may notify imCAD if you want your account deleted. imCAD may suspend or terminate your account if you breach these Terms, after notifying you and giving you a reasonable period to remedy the breach (except for serious breaches or at the request of a competent authority).

11.3. Effect of termination

Upon termination, your right to use imCAD ends; the Output files on your computer remain yours. Sections 5.3, 6, 12, 13, 14, 15 and 16 survive termination.

11.4. Changes to the Service and updates

imCAD automatically checks for and installs updates digitally signed by imCAD to fix bugs, improve security and add features. imCAD may change, add or remove features; if we discontinue the Service entirely, we will give advance notice and refund the portion of fees corresponding to the unused period.

12. Indemnification

To the extent permitted by law, you agree to indemnify imCAD for damages and reasonable costs arising from third-party claims caused by your breach of these Terms, your violation of law or your infringement of others’ rights when using the Service.

13. Disclaimer of warranties

The Service is provided “as is”. AI may misunderstand requests and produce inaccurate models, dimensions, drawings, masses or analysis results. All Output is for assistance only; you or a qualified engineer must check it before using it for manufacturing, quotations, acceptance or safety decisions. Strength analysis results in imCAD are quick estimates and do not replace design calculations according to standards.

To the extent permitted by law, imCAD does not warrant that the Service will be uninterrupted or error-free, or that it is compatible with every version of SOLIDWORKS, Windows or AI services.

14. Limitation of liability

To the extent permitted by law, imCAD is not liable for indirect damages, loss of profits, loss of data or business interruption arising from the use of the Service. imCAD’s total liability for all claims relating to the Service shall not exceed the fees you paid to imCAD in the 12 months before the event giving rise to the claim. This limitation does not apply where the law does not permit limitation of liability, including consumer rights under the Law on Protection of Consumers’ Rights.

15. Dispute resolution

If you have a concern, please contact [email protected] first, as most issues can be resolved quickly through discussion. Disputes that cannot be resolved by negotiation within 30 days after one party sends written notice shall be submitted to [the competent People’s Court in Vietnam / the Vietnam International Arbitration Centre (VIAC)] for resolution. Customers who are consumers retain all rights to complain and to bring legal action under consumer protection regulations.
